By accessing or using CPH-DealFlo (the "Platform"), operated by Caudate Putamen Holding Corp® of Delaware ("CPH," "we," "us"), you agree to be bound by these Terms of Service. If you do not agree, do not use the Platform.
CPH-DealFlo is a software and document workflow platform only. We are not a registered broker-dealer, registered investment advisor, securities intermediary, financial institution, escrow agent, or custodian of funds. Nothing on this Platform constitutes investment advice, a securities offering, a solicitation to invest, or a guarantee of any outcome.
To use the Platform you must: (a) operate a legally formed business generating a minimum of $500/day in documented cash receipts; (b) provide valid government-issued photo ID for KYC verification; (c) be at least 18 years of age; and (d) have full legal authority to enter into these Terms on behalf of your business.
You may use the Platform to upload, organize, and manage deal documents; receive AI-generated compliance assessments; and communicate with other verified members. You may not use the Platform to solicit investments, make securities offers, provide investment advice to third parties, or engage in any activity prohibited by applicable law.
AI ratings provided by the Platform are document compliance assessments only. They are not legal opinions, regulatory approvals, investment recommendations, or guarantees of deal quality. Always consult qualified legal and compliance professionals before proceeding with any transaction.
Membership fees are processed via Stripe. All fees are for platform access only. CPH does not hold, manage, or direct client or investor funds under any circumstance. Subscriptions renew monthly unless cancelled before the renewal date. No refunds are issued for partial months.
All platform content, branding, code, workflows, and AI systems are the proprietary property of Caudate Putamen Holding Corp®. Unauthorized reproduction, distribution, or reverse engineering is strictly prohibited.
To the fullest extent permitted by law, CPH shall not be liable for any indirect, incidental, special, or consequential damages arising from your use of the Platform, including losses related to any deal, investment, or transaction.
These Terms are governed by the laws of the State of Delaware, without regard to conflict of law principles. Any disputes shall be resolved in the courts of Delaware.
We may update these Terms at any time. Continued use of the Platform after changes constitutes acceptance. Material changes will be communicated by email to registered members.
